Terms of Service

1. Acceptance of Terms

By accessing and using Our Impact (ourimpact.co.uk), you accept and agree to be bound by the terms and provisions of this agreement. Our Impact provides small charities with tools to track, measure, and understand their social impact. We offer this service with full transparency and for as little as £250 per month with no set up fees.

2. Changes to Terms

Our Impact reserves the right to modify these terms from time to time at our sole discretion. We will provide notice of any material changes by posting the new Terms of Service on the primary access points to the Our Impact service. Your continued use of the Service after such notice constitutes your acceptance of the new Terms of Service.

3. Access and Use of the Service

Our Impact grants you a limited, non-exclusive, non-transferable right to access and use the Our Impact service solely for your organization's internal business purposes, subject to the terms and conditions of this Agreement. You agree not to (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Service in any way; (ii) modify or make derivative works based upon the Service; (iii) reverse engineer or access the Service in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, or (c) copy any ideas, features, functions or graphics of the Service.

4. Data Processing and GDPR Compliance

Our Impact processes data in accordance with the General Data Protection Regulation (GDPR). We act as a data processor for any personal data you submit through our service. We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including inter alia as appropriate: (a) the pseudonymisation and encryption of personal data; (b) the ability to ensure the ongoing confidentiality, integrity, availability and resilience of processing systems and services; (c) the ability to restore the availability and access to personal data in a timely manner in the event of a physical or technical incident; (d) a process for regularly testing, assessing and evaluating the effectiveness of technical and organizational measures for ensuring the security of the processing.

5. Your Responsibilities

You are responsible for all activity occurring under your use of the Service and shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Service, including those related to data privacy, international communications and the transmission of technical or personal data.

6. Intellectual Property Rights

The Our Impact service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Our Impact, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Confidentiality

Each party agrees to hold the other's Confidential Information in confidence and not to use it for any purpose other than the purposes of this Agreement. "Confidential Information" means all information disclosed by a party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

8. Disclaimer of Warranties

Our Impact and its licensors make no representation, warranty, or guaranty as to the reliability, timeliness, quality, suitability, truth, availability, accuracy or completeness of the service. Our Impact and its licensors do not represent or warrant that (a) the use of the service will be secure, timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (b) the service will meet your requirements or expectations, (c) any stored data will be accurate or reliable, (d) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your requirements or expectations, (e) errors or defects will be corrected, or (f) the service or the server(s) that make the service available are free of viruses or other harmful components.

9. Limitation of Liability

In no event shall Our Impact's aggregate liability exceed the amounts actually paid by and/or due from you in the twelve (12) month period immediately preceding the event giving rise to such claim. In no event shall Our Impact and/or its licensors be liable to anyone for any indirect, punitive, special, exemplary, incidental, consequential or other damages of any type or kind (including loss of data, revenue, profits, use or other economic advantage).

10. Termination

You may terminate your use of the Service upon 30 days written notice to Our Impact. Our Impact may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination, all rights and licenses granted to you under these Terms of Service shall immediately terminate, but all provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with these Terms of Service shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
